You must read these Terms and Conditions carefully and completely before using any of the sites or technologies operated by Suntek Solutions (hereafter “Suntek Solutions,” “us,” “we,” or “our”), including, but not limited to, any of its sub-domains (the “Sites,” “Website,” or “Websites” and "Technology" or "Technologies"). This Agreement sets forth the legally binding terms and conditions that apply for your use of any of the Sites/Technologies.

By accessing or using any of the Sites in any manner, including, but not limited to, visiting or browsing the Sites or contributing content or other materials to the Sites, you agree to be bound by these Terms and Conditions. If you do not accept these terms of use, do not use this website. Your continued use of this site or Suntek Solutions Technologies confirms your acceptance of all of these terms.

Intellectual Property Rights

Other than the content you own, under these terms, Suntek Solutions and/or its licensors own all the intellectual property rights and materials contained on this Website. You are granted a limited license only for purposes of viewing the material contained on this Website or Suntek Solutions' Technologies. 

As defined in this Agreement, Suntek Solutions Sites and Technologies encompasses any know-how, processes, methodologies, designs, inventions and more used by us for the Service/Support or made available to you/Authorized Users/third parties connected with the Service/Support. This includes products and services on this Website; Agents; Service interface; Suntek Solutions' branded websites (sub-domains and mobile versions), and Suntek Solutions Technologies. The Service and Technology have valuable intellectual property rights owned by Suntek Solutions - none of which is transferred to you/Authorized Users/third parties under this Agreement. Service Commitment, Support, and Restrictions and Third-Party Content sections detail your limited access/use of Service/Agents only; plus object code/source code can be accessed in certain cases. All other rights to the Technologies remain with Suntek Solutions.

Service Commitment, Support, and Restrictions

Suntek Solutions will make every effort to keep 99.8% of the hosted Service available each month of this Agreement, as long as Authorized Users can log into the Service interface and access data. If under a paying plan, Suntek Solutions can provide in-product and email support ("Support"), aiming to respond within 48 hours. Certain elements of Support may be delegated to third parties, however Suntek Solutions stays accountable to you. Should Support not meet reasonable skill/care standards, Suntek Solutions will re-perform it until corrected - which you accept is your sole remedy for any defective performance.

Suntek Solutions will make the Service accessible to you and all Authorized Users throughout the Service Period. This grants you a limited, non-transferable right to allow users access and use the Service through the interface, Website, Suntek Solutions' technical/operations documentation plus Agents, and Technologies for your internal purposes only. All access and use is subject to Suntek Solutions' Privacy Policy: https://www.sunteksolutions.io/privacy-policy and we reserve the right to modify, upgrade or change the Service at any time.

You are specifically restricted from all of the following:

- selling, sub-licensing and/or otherwise commercializing any Website or Technology material, unless agreed otherwise by both parties;

- using this Website/Technologies in any way that is or may be damaging to this Website/Technologies;

- using this Website/Technologies contrary to applicable laws and regulations, or in any way may cause harm to Suntek Solutions, or to any person or business entity;

- engaging in any data mining, data harvesting, data extracting or any other similar activity in relation to this Website or our Technologies;

Certain areas of this Website/Technologies are restricted from being accessed by you and Suntek Solutions may further restrict access by you to any areas of it, at any time, in absolute discretion. Any user ID and password you may have for this Website or Suntek Solutions Technologies are confidential and you must maintain confidentiality as well.

Third-Party Content

Suntek Solutions may provide APIs, agents, libraries, and other materials for your access and use of the Service (collectively, "Agents") at its discretion. You must only use the Agents on systems owned or leased by you or for which you are primarily responsible. These Agents are made solely to support Service access and use - Suntek Solutions has no responsibility in any other scenario. Some of these Agents include third-party content under open-source licenses with rights that could restrict or extend your usage of them.

You must review the accompanying electronic documentation or links to identify Agents and subject to its license terms. If such licenses offer greater rights than those granted in this Agreement, they will apply only towards their software. You accept responsibility for complying with all third-party terms, including any license terms and assume no liability for third-party content under this Agreement.

No warranties

Our Website and Technologies are provided without any promises or guarantees, and Suntek Solutions makes no representation or warranties regarding them. Nothing should be construed as providing advice to the user.

Limitation of liability

Suntek Solutions, its founders, partners, affiliates, vendors, independent contractors, and employees shall not be held liable for any outcome related to the use of our Website or Technologies under contract. No indirect, consequential or special liability will arise from using this Website or our Technologies.

Indemnification

You hereby indemnify to the fullest extent Suntek Solutions from and against any and/or all liabilities, costs, demands, causes of action, damages and expenses arising in any way related to your breach of any of the provisions of these terms.

Severability

If any provision of these terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.

Variation of Terms

Suntek Solutions is permitted to revise these Terms at any time as it sees fit, and by using our Website and Technologies you are expected to review these Terms on a regular basis.

Assignment

Suntek Solutions is allowed to assign, transfer, and subcontract its rights and/or obligations under these terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these terms.

Entire Agreement

These terms constitute the entire agreement between Suntek Solutions and you in relation to your use of our Website and Technologies, and supersede all prior agreements and understandings.

Governing Law & Jurisdiction

These terms will be governed by and interpreted in accordance with the laws of the State of Washington, and you submit to the non-exclusive jurisdiction of the state and federal courts located in Washington for the resolution of any disputes.
